Terms of Service
Please read these terms carefully before using Agapetec's services.

1. Agreement to Terms
By engaging Agapetec LLC ("Company," "we," "us") for IT services, you ("Client," "you") agree to be bound by these Terms of Service. These terms apply to all services provided by Agapetec, including but not limited to web design, VoIP/3CX phone systems, cloud hosting, UniFi networking, managed IT services, and cybersecurity.
2. Services Provided
Agapetec provides the following IT services to small and mid-size businesses in the Dallas Fort Worth area:
- Custom web design and development
- 3CX phone system deployment and management
- Cloud hosting on IONOS DCD
- UniFi networking solutions (WiFi, switches, cameras, access control)
- Managed IT services and helpdesk support
- Cybersecurity assessments and protection
- Firewall deployment and management
- Data security and backup solutions
The specific scope of work for each engagement is defined in the individual service proposal or agreement signed by both parties.
3. Service Level Agreement
Agapetec commits to the following service levels:
- Support Hours: Monday through Saturday, 7:00 AM – 6:00 PM Central Time
- Response Time: Critical issues within 1 hour; standard requests within 4 business hours
- Uptime: 99.9% for managed hosting and cloud services (excluding scheduled maintenance)
- On-Site Support: Available within the Dallas Fort Worth area, typically within 24 hours of request
4. Payment Terms
- Recurring services are billed monthly or annually as specified in your service agreement
- One-time project fees may require a deposit before work begins (typically 50%)
- Payment is due within 30 days of invoice date unless otherwise agreed
- Accepted payment methods: credit card, ACH transfer, check
- Late payments may incur a 1.5% monthly fee after 30 days past due
- Services may be suspended for accounts more than 60 days past due
5. Client Responsibilities
To ensure successful delivery of services, clients agree to:
- Provide timely access to systems, credentials, and facilities as needed
- Designate a primary point of contact for project communication
- Provide content, branding assets, and feedback within agreed timelines
- Maintain current backups of critical data before any system changes
- Notify Agapetec promptly of any security incidents or system issues
6. Intellectual Property
- Agapetec retains ownership of all custom code, designs, and technical configurations until full payment is received
- Upon full payment, the client receives a perpetual, non-exclusive license to use all deliverables
- Client retains full ownership of their content, branding, logos, and data at all times
- Third-party tools, frameworks, and open-source components remain under their respective licenses
7. Cancellation & Refund Policy
- Recurring services require 30 days written notice for cancellation
- Work completed prior to cancellation is non-refundable
- Unused prepaid services may be prorated at Agapetec's discretion
- Domain registrations and third-party licenses are non-refundable once purchased
- Upon cancellation, Agapetec will provide reasonable assistance in transitioning services
8. Limitation of Liability
Agapetec's total liability for any claim arising from services shall not exceed the total fees paid by the client in the 12 months preceding the claim. Agapetec is not liable for indirect, incidental, or consequential damages including lost profits, data loss, or business interruption.
9. Data Privacy & Security

10. Acceptable Use Policy
Clients may not use Agapetec's services to:
- Distribute malware, spam, or illegal content
- Violate any applicable federal, state, or local laws
- Infringe on the intellectual property rights of others
- Attempt unauthorized access to systems or networks
Violation of this policy may result in immediate suspension of services.
11. Third-Party Services
Agapetec integrates with and resells services from third-party providers including GoDaddy, IONOS, 3CX, and Ubiquiti. These services are governed by their own terms and conditions. Agapetec is not responsible for outages, changes, or discontinuation of third-party services.
12. Modifications to Terms
Agapetec reserves the right to modify these terms at any time. Clients will be notified of material changes via email at least 30 days before they take effect. Continued use of services after changes take effect constitutes acceptance of the modified terms.
13. Governing Law
These terms are governed by the laws of the State of Texas. Any disputes shall be resolved in the courts of Denton County, Texas.
